The primary duties of the Nomination Committee are to make recommendations to our Board on the appointment and removal of Directors of our Company. The Nomination Committee consists of five members, namely Dr. Xuefeng YU, Mr. Shiu Kwan Danny WAI, Mr. Shuifa GUI, Mr. Jianzhong LIU and Ms. Nisa Bernice Wing-Yu LEUNG. The primary duties of the Remuneration and Assessment Committee are to establish and review the remuneration policy and structure for the Directors and senior management and make recommendations on employee benefit arrangement. The Remuneration and Assessment Committee consists of five members, namely Mr. Shuifa GUI, Mr. Jianzhong LIU, Ms. Zhu XIN, Dr. Shou Bai CHAO and Mr. Liang LIN. Mr. Shuifa GUI has been appointed as the chairman of the Remuneration and Assessment Committee.

The primary duties of the audit committee are to review and supervise our financial reporting process and internal control system, nominate and monitor external auditors and to provide advice and comments to the Board. Our audit committee consists of three members, being Ms.Zhu XIN, Mr. Shiu Kwan Danny WAI and Mr.Shuifa GUI. And Ms.Zhu XIN currently serves as the Chairwoman of our audit committee.
